Bear Media – Terms & Conditions

These Terms & Conditions govern all services provided by Bear Media, owned and operated by Garry Lynch, based in Broxburn, Scotland. By commissioning any work, making payment, approving a proposal, or instructing Bear Media to begin a project, the Client confirms acceptance of these Terms & Conditions.
1Definitions
Bear Media refers to the service provider operated by Garry Lynch.
Client refers to the individual or business commissioning services.
Services refers to all photography, videography, drone content, editing, social media management, consultancy, website work, and related deliverables.
Deliverables refers to the completed output supplied by Bear Media.
Drafts refers to preliminary or incomplete versions supplied for review.
Agreement refers to the contract formed when the Client accepts a proposal, pays a deposit, or instructs work to begin.
2Formation of Contract
A contract is formed when the Client accepts a proposal, pays a deposit, or instructs Bear Media to begin work.
No formal signature is required for the Agreement to be binding.
These Terms apply to all work carried out unless otherwise agreed in writing.
3Payment Terms
All proposals include a clear cost structure.
Deposits or initial instalments are non-refundable unless otherwise agreed.
All invoices must be paid in full by the due date.
Late payments may result in suspension of services until the balance is cleared.
Bear Media may apply statutory interest and fees under the Late Payment of Commercial Debts Act.
4Cancellation, Delays and Kill Fees
If the Client cancels work after it has started, the Client is responsible for all work completed to date.
A kill fee will apply if a project is cancelled mid-process.
Filming days cancelled with less than 48 hours notice may be charged in full.
Delays caused by the Client may extend delivery timelines.
5Copyright and Usage Rights
All footage, images, edits, drafts, and raw materials created by Bear Media remain the exclusive copyright of Bear Media unless usage rights are granted in writing.
Usage rights are only granted once all invoices have been paid in full.
Drafts are not licensed for use and cannot be shared, posted, edited externally, or published.
Bear Media retains the right to use completed work for portfolio and promotional purposes unless requested otherwise in writing.
6Raw Footage and Working Files
Raw footage and project files are not included in standard packages.
These may be supplied at Bear Media's discretion and may incur an additional fee.
Bear Media is under no obligation to provide unused or unedited material.
7Revisions and Editing Process
Drafts are supplied for review before final delivery.
Revisions include corrections such as spelling, name accuracy, audio, and branding alignment.
Major changes to structure, storyline, or creative direction may incur additional fees.
Feedback must be provided within agreed timeframes.
8Filming Locations and Travel
Filming dates will be agreed in advance.
Travel within Edinburgh is included. Travel outside Edinburgh may incur additional costs.
The Client is responsible for location permissions when required.
Drone work may be postponed or altered for safety or regulatory reasons.
9Client Responsibilities
The Client must provide accurate information, brand assets, logos, content, and any required materials.
The Client is responsible for ensuring all individuals filmed have given consent.
Bear Media is not liable for delays caused by missing information or unprepared environments.
10Limitation of Liability
Bear Media will deliver work with reasonable skill and care.
Bear Media is not liable for loss of income, business interruption, or consequential damages.
In the rare event of equipment failure or circumstances beyond control, liability is limited to the cost of the service provided.
11Termination
Bear Media may terminate the Agreement if the Client is abusive, non-communicative, or fails to pay invoices.
All completed work up to the termination date remains chargeable and payable.
12Governing Law
These Terms are governed by Scottish law.
Any disputes will be handled through the appropriate Scottish courts.
